GENERAL TERMS AND CONDITIONS (T&Cs)

  1. Scope And Provider  
    These General Terms and Conditions ("T&Cs") apply to all orders placed by buyers (hereinafter referred to as the "Customer") via the online shop of the website https://www.ballarino-amplification.com (hereinafter referred to as the "Website"), which is operated by p3 GmbH, Austria, under the trade name "Ballarino Amplification" (hereinafter referred to as the "Seller"). Deviating terms of the Customer shall not be accepted.
  2. Conclusion of Contract
    1. The presentation of goods in the online shop does not constitute a legally binding offer to conclude a contract on the part of the Seller, but merely a non-binding invitation to the Customer to order goods (invitatio ad offerendum).
    2. The essential characteristics of the products can be found in the respective product description on the Website. The Seller does not guarantee the actual availability or specific delivery times of the goods presented.
    3. By clicking the button "Buy now", "Pay now" (or a similar, unambiguous wording), the Customer submits a binding offer to purchase the goods in the shopping cart.
    4. The Seller shall confirm receipt of the order immediately after it is sent via an automated e-mail (Order Confirmation). This Order Confirmation does not yet constitute an acceptance of the offer.
    5. The purchase contract is only concluded and valid when the Seller accepts the Customer’s offer by dispatching the goods or by confirming the dispatch in a separate e-mail (shipping confirmation).
    6. The Seller reserves the right to reject purchase offers from Customers without giving reasons.
    7. Contract conclusions and communication with the Seller shall take place in German or English.
  3. Prices and Payment Terms
    1. The prices indicated on the Website at the time of the order shall apply. All prices are final prices in Euros (€) and may include any applicable VAT (Value Added Tax). The Seller reserves the right to change prices up until the conclusion of the purchase contract.
    2. Shipping costs will be incurred in addition to the prices indicated. The available delivery options (depending on the destination) and the amount of the corresponding shipping costs will be clearly communicated to the customer before the order is placed.
    3. For deliveries to countries outside the European Union (third countries), additional costs (e.g., customs duties, import taxes, customs clearance fees) may be incurred. These costs shall be borne in full by the Customer.
    4. Payment shall be made using the payment methods offered to the Customer at checkout, such as PayPal, credit card, wire bank transfer, prepayment, etc. The purchase price is due for payment immediately upon conclusion of the contract.
  4. Delivery Terms and Retention of Title
    1. Delivery shall be made to the delivery address specified by the Customer in the order process.
    2. Delivery shall take place after full receipt of the payable amount and shall be subject to the availability of the goods. Stated delivery times are non-binding estimates by the Seller and not a binding commitment to a certain delivery date.
    3. Should delivery be or become impossible for reasons for which the Seller is not responsible (e.g., delays from suppliers) or due to force majeure, the Seller shall inform the Customer of this immediately. In this case, both the Seller and the Customer are entitled to withdraw from the contract without any further claims.
    4. The risk of accidental deterioration or accidental loss of the goods shall remain with the Seller until the goods are handed over and shall pass to the Customer upon handover.
    5. The goods shall remain the property of the Seller until the purchase price has been paid in full (retention of title).
  5. Right of Withdrawal
    1. Customer who are considered Consumers are entitled to a statutory right of withdrawal in accordance with the Austrian Distance and Off-Premises Contracts Act (“FAGG”).
    2. The detailed Instruction on Withdrawal and the model withdrawal form can be found in a separate document provided to you before the conclusion of the contract and available at /returns.
    3. All returns must be sent exclusively to the Seller's workshop address in Vienna, Austria, as indicated on the Website.
    4. IMPORTANT NOTE ON RETURN COSTS: In the event of a withdrawal, the Customer shall bear the direct costs of returning the goods (§ 15 para 2 FAGG).
    5. Exceptions to the right of withdrawal (§ 18 FAGG): The right of withdrawal does not apply, among others, to contracts for the supply of audio or video recordings (e.g., CDs, DVDs) or computer software delivered in a sealed package, if the seal has been removed after delivery.
  6. Statutory Warranty
    1. The statutory provisions of warranty law under Austrian law (§ 922 et seq. ABGB [Austrian General Civil Code]) shall apply. The warranty period for movable goods is two years from the acceptance of the goods.
    2. The delivered goods must be inspected within a reasonable period upon receipt, and any defects found must be reported to the Seller immediately (without this resulting in any restriction of the statutory rights of consumer Customers). Obvious transport damage should also be reported immediately to the delivery agent.
    3. Delivered products may deviate slightly from images on the Website with regard to appearance, design, color tone, grain or veneer pattern, structure, and dimensions. This does not constitute a defect.
    4. If asserting justified warranty claims, the Customer is entitled to only withhold a corresponding, appropriate part of the purchase price.
  7. Liability
    1. The Seller shall be liable without limitation for damages resulting from injury to life, body, or health that are based on an intentional or negligent breach of duty by the Seller.
    2. For other damages (property damage), the Seller shall only be liable in cases of intent or gross negligence. Liability for simple (slight) negligence is excluded.
    3. The provisions of the Austrian Product Liability Act ([Produkthaftungsgesetz]) shall remain unaffected.
  8. Data Protection 
    Information on the processing of personal data can be found in the separate Privacy Policy.
  9. Dispute Resolution 
    The European Commission provides a platform for Online Dispute Resolution (ODR), which you can find here: https://ec.europa.eu/consumers/odr/. The Seller is not obligated to participate in a dispute resolution procedure before a consumer arbitration board.
  10. Final Provisions
    1. Austrian law shall apply, with the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG) and the conflict of law rules of private international law.
    2. For Consumers, this choice of law shall only apply to the extent that the protection granted by mandatory provisions of the law of the Member State in which the consumer has his or her habitual residence is not withdrawn (principle of favourability according to the Rome I Regulation).
    3. To the extent permitted by law, the competent court in Vienna, Austria, shall be agreed as the place of jurisdiction for all disputes arising from this contract. Mandatory places of jurisdiction for consumers shall remain unaffected.
    4. The place of performance shall be the Seller's business address in Dietach, Austria.
    5. Should individual provisions of these General Terms and Conditions be or become wholly or partially invalid, the remainder of the contract shall remain effective. Insofar as individual clauses are invalid, their content shall be governed by the statutory default provisions.
